Pluto Partners, the specialist negotiators for dental and healthcare businesses, facilitated a new partnership deal between Envisage, the UK’s largest family-owned private dental group, and a large Southwest-based private specialist practice.
Despite the highly confidential nature and structure of this deal, many qualified potential investors expressed significant interest.
Envisage, with their comprehensive understanding of the dental industry and their strategic growth plans, swiftly emerged as the preferred partner for the undisclosed owner, a testament to their suitability and the effectiveness of the negotiation process.
Speaking after the deal, the owner, who did not wish to be named, said: “Max and his team were incredible. They helped me through the process and introduced me to potential investors and partners.
“After many discussions and meetings, Envisage became my choice. They understood my business, and I liked their plans to grow together without losing the identity of the practice.
“Envisage’s head of acquisitions Jon Toh was very clear about their vision from the first meeting and was impeccable throughout the process.”
Jon Toh, from Envisage, commented: “As always, it was a pleasure to work with Max, whose experience allows him to see both sides of the coin. This was crucial in ensuring the deal progressed quickly and—most importantly—in a collaborative manner.
“Max understands that Envisage is more selective than other groups when it comes to choosing practices and principals to partner with, and we’re delighted to have worked together to add another wonderful private practice of the highest calibre to the family.”
Max Bazzucchini, Partner at Pluto Partners, added: “Preparing a business for a deal is critically important and we have been working with our client for over two years before having any discussions with potential investors.
“I’m proud to have facilitated and negotiated another superb partnership deal, giving the owner confidence that the practice will continue to grow to its full potential. He will be able to focus on his vocational interest of seeing patients rather than spending time managing the practice.
“Dealing with Jon and the Envisage team has been a pleasure, and I wish them continued success.”
The legal and estate work, a crucial aspect of the partnership deal, was meticulously handled by Gemma Mintram, Jon Hill, Stena Rham, and Mandy Holcroft from Knights PLC, Faisal Dhalla, Kirsty Odell and Ed Giles from Bevan Brittan, Liza Davison and Zainab Hassan from Hempsons.
Mark Thomas completed the financial due diligence work, ensuring the partnership’s financial health, and Paul Underwood from Morris Crocker provided tax advisory.

“Max brokered on our recent completion of Ace Dental in Kentish Town. He was great at liaising between all parties and helping to push things along so that we were able to complete within the agreed timeframe. Max is always easily contactable and quick to respond.”
